2. Client Responsibilities
The Client agrees to:
- Provide all necessary information, materials, and approvals in a timely manner.
- Ensure all content provided (e.g., text, images, branding) does not infringe on third-party intellectual property rights.
- Be solely responsible for business compliance with local laws, regulations, and tax obligations.
3. Fees & Payments
- All fees are due upfront or as otherwise agreed in writing.
- Payments are non-refundable under all circumstances.
- Failure to pay may result in suspension or termination of services.
4. No Refunds / No Returns Policy
- All sales are final.
- Once services are initiated, delivered, or made available, no refunds, returns, or credits will be issued.
- By purchasing services, the Client acknowledges and accepts this strict No Refund / No Return policy.
5. Intellectual Property
- All pre-existing intellectual property belonging to the Company (including templates, processes, software, or tools) remains the sole property of the Company.
- Upon full payment, the Client may receive a limited, non-exclusive, non-transferable license to use deliverables created specifically for them.
- The Company reserves the right to showcase completed projects in portfolios, case studies, or marketing materials, unless otherwise agreed in writing.
6. Limitation of Liability
To the fullest extent permitted by law:
- The Company shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, business interruptions, or reputational harm.
- The Company’s total liability for any claim shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.
7. Service Delivery & Timelines
- The Company will use reasonable efforts to meet agreed timelines but is not liable for delays caused by factors outside its control (e.g., late client feedback, third-party failures, force majeure events).
- Timelines may be adjusted if the Client fails to provide necessary materials, approvals, or communication in a timely manner.
8. Termination
- Either party may terminate services with written notice.
- Fees already paid remain non-refundable.
- Work completed up to the termination date will be delivered to the Client, provided full payment has been made.
9. Confidentiality
Both parties agree to keep confidential any sensitive information shared during the course of services. Confidentiality obligations do not apply to information that is publicly available, lawfully obtained, or required to be disclosed by law.
